I.V. Auto, Inc. – Terms of Use

Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, portals, and online services operated by I.V. Auto, Inc. (“I.V. Auto,” “we,” “us,” or “our”), including www.ivautoinc.com and any associated client platforms (collectively, the “Service”).

By accessing or using the Service, you agree that you have read, understood, and are bound by these Terms. If you do not agree, you must discontinue use immediately.

We may update or modify these Terms at any time without prior notice. Updates become effective upon posting, and continued use of the Service constitutes acceptance. Additional terms may apply to specific tools, features, or registered client accounts; in the event of a conflict, those terms will control.

Eligibility; Business Use; Geographic Scope

The Service is intended for use by individuals who are:

  • At least 18 years of age,
  • Authorized to act on behalf of an insurance company, financial institution, dealership, fleet operator, charity, vendor, or other commercial entity, and
  • Located within the United States.

The Service is not intended for children, for general consumer retail use, or for use outside the United States.

Definitions

For purposes of these Terms:

  • “Service” means all websites, platforms, tools, data, dashboards, and online resources operated by I.V. Auto.
  • “User” or “you” means any individual or entity accessing or using the Service.
  • “User Content” means any data, documents, images, notes, or information uploaded or submitted through the Service.
  • “Account” means any registered user profile used to access restricted features of the Service.

Ownership and Intellectual Property

All content appearing on or through the Service—including text, images, videos, graphics, software, databases, data compilations, documentation, user interfaces, and all other materials—is the exclusive property of I.V. Auto, Inc. or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.

The I.V. Auto name, logo, and related marks are proprietary trademarks of I.V. Auto, Inc. Nothing in these Terms grants you any license or right to use those marks without our prior written consent.

Registration and Account Security

Certain features of the Service require an Account. You agree to:

  • Provide accurate and complete information,
  • Maintain the confidentiality of your login credentials, and
  • Immediately notify us at support@ivautoinc.com of any suspected unauthorized use.

We may suspend or terminate Accounts that contain false or misleading information. I.V. Auto is not responsible for losses arising from your failure to maintain the security of your Account.

Electronic Communications and E-Signatures

By using the Service, you consent to receive notices, documents, and communications electronically, including by email, portal notification, or dashboard messaging. These electronic communications satisfy all legal requirements that such communications be in writing.

If the Service allows electronic signatures, you agree that electronically signed documents are legally binding to the fullest extent permitted by law.

Permitted Use and Restrictions

You may access and use the Service for lawful, internal business purposes only.

You may not:

  • Modify, reverse engineer, decompile, or otherwise attempt to access source code,
  • Access any part of the Service without authorization,
  • Scrape, crawl, harvest, or extract data using automated tools,
  • Upload malware, malicious code, or harmful files,
  • Provide false, misleading, or incomplete information,
  • Interfere with the security or operation of the Service,
  • Circumvent access controls or account restrictions,
  • Impose unreasonable load on our infrastructure,
  • Use the Service in violation of applicable law.

Unauthorized access to restricted areas is strictly prohibited and may result in legal action.

Salvage-Specific Disclaimers; Data Accuracy

The Service may display Guaranteed Salvage Bids (“GSBs”), estimated values, condition assessments, inventory data, assignment statuses, timelines, or operational updates.

You acknowledge and agree that:

  • Salvage bids, offers, and valuations are estimates only,
  • Estimates may change if information is incomplete or inaccurate,or updated
  • Assignment statuses (e.g., Waiting Vehicle Release, Wait Pickup, Ready Sale) are operational indicators and may not reflect real-time conditions
  • Inventory data and dashboards are provided for informational purposes only and may contain delays, inaccuracies, or errors.

I.V. Auto is not responsible for decisions or actions taken based on such estimates or data.

User Content

By submitting User Content through the Service, you grant I.V. Auto a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, store, distribute, and display such content for the purpose of operating, maintaining, and improving the Service.

You represent that your content does not:

  • Infringe any intellectual property rights,
  • Violate any law or regulation
  • Contain unlawful, defamatory, or harmful material
  • Contain viruses, ransomware, or malicious code.

We may remove or restrict any User Content at our discretion.

Links to Third-Party Sites

The Service may include links to third-party websites or resources. I.V. Auto does not control or endorse such sites, and is not responsible for their content, accuracy, or practices. Use of third-party sites is at your own risk

Privacy

Your use of the Service is governed by our Privacy Notice, which is incorporated into these Terms by reference.

Data Security

We use commercially reasonable measures to safeguard information submitted through the Service. However, no method of storage or transmission is completely secure, and we cannot guarantee absolute security.

Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. Without limitation, I.V. Auto disclaims all warranties of:

  • Merchantability,
  • Fitness for a particular purpose,
  • Non-infringement,
  • Accuracy or completeness of data,
  • Continuous or error-free operation.
  • Absence of viruses or harmful components.

You assume all risks associated with your use of the Service.

Limitation of Liability

To the fullest extent permitted by law:

  • I.V. Auto and its officers, employees, affiliates, and contractors shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost business, or lost data.
  • Total direct liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to I.V. Auto for access to the Service during the six (6) months preceding the claim, or $500, whichever is greater.

Some jurisdictions may not allow certain exclusions; to the extent prohibited, such exclusions shall not apply.

Indemnification

You agree to defend, indemnify, and hold harmless I.V. Auto and its affiliates from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of:

  • Your use of the Service,
  • Your violation of these Terms,
  • Your violation of any law,
  • Your infringement of any third-party rights.

Modifications or Discontinuance of the Service

We may modify, suspend, or discontinue any part of the Service at any time without notice. We are not liable for any consequences arising from such changes.

Termination

We may restrict or terminate your access to the Service at any time, with or without cause. Termination does not limit any rights accrued to either party prior to termination.

Governing Law; Binding Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State of California.

All disputes shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in Los Angeles County, California.

Class-action and representative claims are expressly waived.

All claims must be brought in an individual capacity.

Each party shall bear its own costs, and the arbitrator’s decision shall be final and binding.

Survival

The following sections survive termination:

Ownership and Intellectual Property; User Content; Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law and Arbitration; Salvage-Specific Disclaimers; and all provisions intended to survive.

Intellectual Property Claims

If you believe that material on the Service infringes your intellectual property, please send a written notice containing:

  • Your full name and contact information,
  • Identification of the protected work
  • Location of the alleged infringing material,
  • A statement of good-faith belief that the use is not authorized,
  • A statement made under penalty of perjury that the notice is accurate
  • Your signature or the signature of an authorized representative.

Miscellaneous

These Terms constitute the entire agreement between you and I.V. Auto regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. You may not assign your rights without our written consent.
